General terms and conditions of sale of products to B2B

 

1. General provisions

1.1 These General Terms and Conditions of Sale (hereinafter: Terms) govern the terms and conditions of sale of products (hereinafter: goods) with the Dealer/Customer (hereinafter: Dealer/Customer) by the company ISTTA GROUP, Podjetje za svetovanje, trgovina i brokernistvo d.o.o., Kovača vas 72, 2310 Slovenska Bistrica, registration number: 8785937000, tax number: 22573984 (hereinafter: the Seller).

1.2 The Terms and Conditions form an integral part of any contract or arrangement between the Seller and the Dealer/Customer.

1.3 In the event of a specific written agreement between the parties, the provisions of such agreement shall take precedence over these Terms.

 

2. Offer and conclusion of the contract

2.1 The Supplier's offers are not binding, unless expressly stated otherwise.

2.2 The contract is deemed to have been concluded when the Seller confirms the Dealer's/Custome's order in writing or when the Seller makes the delivery.

2.3 By placing an order, the Dealer/Customer confirms that he is familiar with these Terms and Conditions and fully agrees with them.

 

3. Prices and payment terms

3.1 Prices are specified in the offer and are exclusive of VAT, unless otherwise stated.

3.2 The payment terms are set out in the mutually concluded cooperation agreement, unless otherwise agreed in writing.

3.3 In the event of late payment, the Seller reserves the right to charge statutory default interest.

3.4 The title to the goods passes to the Dealer/Customer only after the full payment of the purchase price has been made.

 

4. Delivery and Risk Transfer

4.1 Delivery times are informative and non-binding, unless expressly agreed otherwise in writing.

4.2 Delivery is made from the Seller's warehouse (EXW), unless otherwise agreed in writing by the parties.

4.3 The risk of damage or loss of the goods passes to the Dealer/Customer upon handover to the carrier (Parity EXW), unless otherwise agreed in writing by the parties

 

5. Complaints and warranty

5.1 The Dealer/Customer is obliged to inspect the goods immediately upon receipt and to notify the Seller in writing of any defects within 8 days at the latest.

5.2 For hidden defects, the deadline for complaints is 6 months from the receipt of the goods.

5.3 The Seller guarantees that the goods meet normal quality standards. The warranty does not apply to defects resulting from improper use, installation, maintenance or tampering with the goods by an unauthorized service center.

 

6. Resale conditions

6.1 The Dealer/Customer may resell the goods to the final buyers in his own name and on his own account.

6.2 The Dealer/Customer undertakes to provide accurate information about the goods, including warranty conditions, safety instructions and instructions for use, to end customers at the time of sale.

6.3 The Dealer/Customer may not present the goods as their own brand or change the packaging without the written consent of the Seller.

 

7. Accountability

7.1 The Seller shall not be liable for indirect damages or lost profits, except in the case of gross negligence or intent.

7.2 The Seller's joint liability for damages is limited to the amount of the purchase price for the specific order.

 

8. Data protection and confidentiality

8.1 The parties undertake to protect all business and technical information obtained in the course of the cooperation.

8.2 The Dealer/Customer may only use the data obtained in the context of cooperation with the Seller.

                                                                                                                                

9. Validity, modifications and dispute resolution

9.1 These Terms and Conditions are valid from 1.8.2025 onwards.

9.2 The Seller reserves the right to change the Terms and Conditions. Changes enter into force upon publication or written notice to the Dealer/Customer.

9.3 All disputes will be resolved by the parties amicably. If this is not possible, the court of the Seller's registered office shall have jurisdiction to resolve disputes.
